As a result of this approval, Sterling Issuer Services is now able to provide Medallion Signature Guarantee Stamps for shareholder and security holders who need to transfer their stocks, bonds, and other securities. This is an important service for investors looking to transfer or deposit their securities. This stamp guarantees the authenticity of a signature. It is typically placed on a stock power, or the back of a certificate. Over the course of the last several years it has become increasingly more difficult for investors to obtain a Medallion Signature Guarantee Stamp which is needed for the transfer of their securities or for depositing them into a brokerage account.
Why the Need
Years ago a shareholder could walk in to almost any brokerage firm or bank and obtain a Medallion Signature Guarantee Stamp on a Stock Power or the back of a stock certificate and deposit that certificate into any account they wanted. For example a shareholder might obtain a Medallion Signature Guarantee Stamp from their broker at Morgan Stanley and deposit the certificate into their account at Schwab or a penny stock firm. Then the brokerage firms began cracking down on this process. They wanted these assets to be deposited into accounts at their firm. For a variety of reasons this makes a lot of sense.
Then it became more common for shareholders to go to their local bank to receive a Medallion Signature Guarantee Stamp. However, many banks are now placing pretty serious restrictions on who they will provide Signature Guarantee Stamps for. Every bank that I know, will only provide a Medallion Signature Guarantee for their own customers. Making things more difficult, those banks that own brokerage firms, will now only provide a Medallion Signature Guarantee Stamp for securities being deposited into an account at their brokerage firm.
This creates a lot of problems for shareholders looking to deposit securities. Many brokerage firms restrict what they will accept for deposit. Many large brokerage firms will not accept stocks priced below $5.00 per share for deposit. Several of the clearing firms will not accept stocks priced below $0.50 per share for deposit. This creates problems for investors. This is a particular issue for investors who participate in a lot of private placements.
